Seeking a junior attorney to add to Irdeto’s global legal team, primarily focused on EMEA transactional matters with additional support for global Risk Management, who will be based in Hoofddorp, The Netherlands.

In this role you will join our legal team. This global team drives compliance with the regulatory environment and helps winning business in contract negotiations.

 

In this role you will focus on transactional drafting and negotiating of software technology license agreements relating to Irdeto’s core products and services, including conditional access licenses, license and managed services agreements for OTT and similar solutions, reseller agreements, manufacturing agreements (e.g., contracts with set-top box manufacturers, CAMs, dongles, and integrated hybrid/IP TVs), master services agreements and software licenses in new business areas including connected transport and other connected IOT industries, software protection for games, and related supporting agreements across the licensing spectrum, including coordinating SLAs and SOWs with applicable company support and product departments. 

 

Additionally: 

  • You provide advice on (including negotiating and drafting, as applicable) other customary in-house business matters and contracts, including procurement agreements, partner/reseller agreements, NDAs, evaluation agreements etc.; 
  • The position will have a dotted line reporting to Irdeto’s Legal Compliance Officer.  Responsibilities shall include helping support the global Risk Management function, including helping coordinate routine Risk Committee meetings, support/coordinate/conduct training, assist with policy implementation(s) and assist with internal reporting needs and documentation with respect to Irdeto’s parent company MCG.
  • The position may also help support Denuvo’s (an Irdeto group company focusing on games security, such as anti-tamper and anti-cheat software for videogames) contract needs.
  • The job will require contributing as a key team member on all customary company legal matters, including corporate formalities, potential diligence and coordination on M&As, HR matters, and disputes (whether litigation, regulatory or otherwise).


Skills and experience you bring: 

  • Excellent drafting and negotiating skills, and fluency in English;
  • Be able to manage a large volume of contracts and balance competing internal demands;
  • Excellent time management skills and ability to prioritize and meet shifting deadlines;
  • Be able to navigate transactions, grasping deal economics to provide sound commercial advice in parallel with addressing legal issues including balancing and spotting risks to protect the company; 
  • Strong people skills are required to deal with a range of clients and internal customers, as well as professionally representing the company and the Legal Department’s role with respect to its parent company (MCG);
  • 3+ years’ experience (as a practicing attorney), including drafting transactional licensing contracts, including direct experience with software license agreements, required. Preference for an attorney trained at a major law firm in technology, media & telecom practice, and/or in-house roles with company licensing technology-related products/software and/or services;
  • Ideal if you have cross over experience between law firm and in-house (understanding experience will be limited given level of role/experience). Additional preference for an attorney that has experience with risk management and/or compliance functions;
  • Ability and willingness to juggle lower-level work, such as NDAs and routine vendor contracts, together with providing support and growing to manage more sophisticated deals is a must;
  • Fluency in another European language (Russian and/or French) is preferred but not required.
